Cross-Border Investment & Advisory Services: Europe ↔ India

IndoWest Capital is a cross-border partnership platform connecting European professional and institutional investors with the Indian capital markets, in association with Equirus Group — a SEBI-registered Category I Merchant Banker and Portfolio Manager based in Mumbai with a documented track record of more than 325 transactions and over USD 15.5 billion of cumulative deal value advised.

Our service framework spans the full cycle of cross-border capital deployment and advisory between Europe and India. Each pillar is structured to meet the regulatory expectations of European professional investors under FinSA and MiFID II, and the Indian frameworks of SEBI, RBI, FEMA, and IFSCA. We work exclusively with professional clients, family offices, institutional allocators, and corporate principals — never retail.

Below is a summary of our four active service pillars. Each pillar links to a dedicated page where the full scope, regulatory framework, and engagement process are described.

Indian Private Equity & Fund Advisory for Family Offices and Institutionals

    Active · Manager-agnostic advisory

Independent advisory for European family offices, institutional allocators, and ultra-high-net-worth principals seeking exposure to Indian private equity, venture capital, and Alternative Investment Funds (AIFs). We provide a manager-agnostic framework — fund universe mapping, manager due diligence, allocation sizing, regulatory pathway selection (FPI, GIFT IFSC AIF, FVCI), and ongoing monitoring. Our role is advisory; capital is deployed through the route best suited to the client's mandate, jurisdiction, and tax position.

This is the underserved segment that INSEAD's 2025 family office study identified as the principal barrier to European allocations into India: lack of trusted local partners with manager-selection capability.

    Cross-Border M&A Advisory

Active mandates · In association with Equirus Capital

Mid-market cross-border M&A advisory for European acquirers of Indian targets, Indian acquirers of European targets, and structured share-swap transactions enabled by the August 2024 NDI Rules amendment. IndoWest provides European-side origination and structuring; Equirus Capital Limited provides Indian execution as SEBI-registered Category I Merchant Banker, including the merchant-banker valuations required under FEMA NDI Rules for cross-border share swaps.

Our focus is the underserved USD 100 million to USD 1 billion segment that tier-1 global advisors typically do not cover with India-specific regulatory depth.

Outbound Capital from India to Europe

    Available on mandate

Advisory for Indian residents (under the Liberalised Remittance Scheme, USD 250,000 per individual per financial year) and Indian corporates (under the Foreign Exchange Management (Overseas Investment) Rules 2022) deploying capital into European assets and entities. Capability includes structuring for ODI route compliance, share-swap acquisition mechanics, RBI Form FC reporting, and coordination between Indian counsel, authorised dealer banks, and European-side advisors.

Dual Listing of European Companies on Indian Exchanges

    Available on mandate

Advisory for European and US issuers evaluating dual listing or primary listing on Indian stock exchanges (NSE / BSE) to access India's structurally higher equity multiples in select sectors. Following the 2024 share-swap reform, Indian listed shares may now be used as foreign-acquisition currency without prior RBI approval in many scenarios. IndoWest provides European-side origination; Equirus Capital provides SEBI ICDR competence and Bookrunning Lead Manager capability — Equirus has acted as BRLM on 80–90% of its IPO mandates per public industry sources.
